All source code, software, algorithms, data models, interfaces, and related documentation (collectively, "the Software") that constitute WABEK are the exclusive proprietary property of WABEK and its licensors. The Software is protected by copyright law, trade secret law, and international intellectual property treaties.
WABEK grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely as a hosted service through our platform (https://waabek.com or your white-label domain) for your internal business purposes, subject to your compliance with these terms and your applicable subscription plan.
You may NOT: (a) copy, modify, adapt, translate, or create derivative works of the Software; (b) reverse engineer, disassemble, decompile, or attempt to derive the source code of the Software; (c) sell, resell, sublicense, rent, lease, transfer, or otherwise redistribute the Software to third parties without express written permission; (d) remove or alter any proprietary notices, labels, or marks on the Software; (e) use the Software to build a competing product or service; (f) access the Software through means other than the interfaces provided by WABEK.
Authorized resellers who have entered into a separate White-Label Reseller Agreement with WABEK may sublicense access to end users under their own brand. Such resellers remain bound by all restrictions in this license and are responsible for ensuring their end users comply with these terms.
The Software contains trade secrets and confidential information belonging to WABEK. You agree to maintain the confidentiality of any non-public information about the Software and not to disclose such information to any third party without prior written consent.
All title, ownership rights, and intellectual property rights in and to the Software shall remain with WABEK. This license does not grant you any rights to trademarks, service marks, or trade names of WABEK.
This license is effective until terminated. Your rights under this license will terminate automatically without notice if you breach any of its terms. Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WABEK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL WABEK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS LICENSE OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This license shall be governed by and construed in accordance with applicable law. Any dispute arising under this license shall be subject to the exclusive jurisdiction of the courts having jurisdiction over WABEK.
